Important notice: Guangzhou Shizhen Information Technology Co., Ltd. (software operator, hereinafter referred to as "Shizhen", unless otherwise specified in the end user authorization and license agreement for a particular software, the “software operator” shall be referred to as Shizhen). We hereby especially remind users to ensure that you have carefully read and fully understood the terms of this MAXHUBShare User Agreement (hereinafter referred to as "Agreement"), including clauses exempting or limiting the liabilities of MAXHUBShare and provisions limiting users’ rights. Please review and choose to accept or not accept this Agreement (minors shall be accompanied by their legal guardians when they review and use the MAXHUBShare). Unless you have accepted the terms of this Agreement, you are not entitled to download, install or use this software and the services related, including the bundled programs and the subsequently released or upgraded version, which may contain the relevant electronic documentation and printed materials. Your installment and usage shall be deemed as acceptance of the Agreement and assent to abide by the terms thereof.

This Agreement is the legal contract executed by users and Guangzhou Shizhen Electronic Technology Co., Ltd. concerning users’ usage of MAXHUBShare (hereinafter referred to as “Software”). This Agreement stipulates the rights and obligations between Shizhen and users concerning the usage of the Software and other aspects. “Users” or “you” refers to any individuals or single entities permitted to use the Software provided by Shizhen.

• Statement of Rights

Shizhen develops the Software independently and provides operation and management services. All intellectual property rights and all information, content related to the Software, including but not limited to: word expressions and its combinations, icons, decorations, images, graphs, colors, interface designs, layout frames, relevant data, additional programs, printed materials or electronic documents, shall be the property of Shizhen, protected by Copyright Law, international copyright treaties and other intellectual property laws and regulations.

• Scope of Use
• Users can use the Software after downloading it from the official channel designated by Shizhen.
• Users acknowledge and agree that upon downloading the Software and assenting to this Agreement and the different versions of the MAXHUBShare Privacy Policy based on the type of hardware device you use (interactive flat panel (“IFP”), PC or mobile phone), you will become the user of the Software, in which case you can use the MAXHUBShare without actively providing or filling in personal information for account registration.
• Users shall select the version of the Software that is compatible with the corresponding User devices, systems etc.; otherwise, you may not be able to use the Software and its services.
• By downloading, installing and using the Software, you hereby represent and warrant that you have the corresponding civil right and capacity as a natural person, legal person or other organization. If you are a person without full civil capacity, which indicates that you do not have the aforementioned subject qualifications, then you and your guardian shall bear all the consequences caused by your improper downloading and use.
• Limitation on Rights
• Reverse Engineering, De-compilation and Disassembling are prohibited: Users may not reverse engineer, decompile or disassemble the Software, nor make any changes to the resources compiled in the software files. Users are required to comply with the restrictions of this Agreement, unless otherwise expressly permitted by laws or regulations.
• Component Partition: each piece of program in the Software product is licensed to use as a single product and may not be used separately for any purpose.
• Particular Use: the written authorization and license from Shizhen shall be obtained for any commercial sale, reproduction and distribution, including but not limited to software sale, pre-installation and bundling.
• Reserved right: all other rights not set forth expressly in this Agreement shall reserve to Shizhen, and Users shall obtain written consent from Shizhen prior to exercising those rights.
• Except as expressly stipulated in this Agreement, this Agreement provides no terms of service regarding other Shizhen’s services accessed by using the Software. There may be separate terms of service governing the services thereof, which needs to be acknowledged and confirmed separately when users use those relevant services. Upon using the service, it shall be deemed as acceptance of the relevant terms of service.

• Your Responsibility

4.1 Functions of the Software 

• Functions of the Software include:
• Display the screen content of PC and mobile phone on the IFP, and realize the touch operation on the computer screen from the IFP;
• Synchronize the screen content of the IFPto the PC and mobile phone, and realize the control and annotation operation of the content on IFP from the PC and mobile phone;
• File transfer and reception can be realized through wireless connection of devices;
• Display the video, audio, pictureand camera screen stored in the mobile phone on the IFP individually;
• Perform touch operation onthe IFP via remote control from the mobile phone.
• Users acknowledge andagree that the data and information generated during the using of the relevant functions of the Software may be processed and stored as necessary by Shizhen. Users shall be fully liable for the content transmitted on his own. Users shall not transmit any information containing one of the following contents when using the Software, otherwise Shizhen reserves the right to address it at Shizhen’s discretion without further notice.
• Violation of privacy;
• Infringing intellectual property;
• Harassing, threatening, insulting or slandering others, infringing on the legitimate rights and interests of others;
• Endangering the safety of children;
• Publishing content that violates the principles of honesty and authenticity, including spam, false information and fake information;
• Publishing harmful or dangerous content, including spreading obscenity, pornography, violence, murder, terrorism, or instigating crimes and propagating hatred;
• Other contents prohibited by laws and administrative regulations.

4.1.3 To help users install and use the Software more conveniently, the Software provides the corresponding help documents; to help update the Software information in time, the Software provides an online upgrade function.

• The Software is supported by Shizhen’s product development technology.
• Modification and Upgrade of the Software: the Software’s intellectual property owner reserves the right to provide the modified and upgraded versions for Users at any time.
• Users shall comply with laws and this Agreement regarding the use of the Software. Under no circumstances are users authorized to engage in the following conducts, including but not limited to:
• Obliterating or altering any information or content concerning copyright in the Software and other copies of the Software;
• Intentionally circumventing or sabotaging the technological measures adopted by the copyright owner for protecting the Software’s copyright;
• Utilizing the Software to mislead or deceive others;
• In violation of state regulations, obliterating, altering, adding or interfering with functions of the computer information system, causing the system incapable to operate normally;
• Accessing the computer information network or using computer information network’s resources without authorization;
• Obliterating, modifying or adding functions of the computer information network without authorization;
• In the absence of Shizhen’s written consent, advertently undertaking the actions including but not limited to: using, renting, lending, duplicating, modifying, linking, reprinting, compiling, publishing, establishing mirror image sites, using the Software to develop related derivative products/works/services, derivative products, software, services, plug-ins, compatible products or inter-connections;
• Sabotaging the normal operation of the Software’s system, deliberately spread viruses or other destructive programs;
• Utilizing the Software or in other means to transmit or distribute any images, photographs, software or other documentation that are legally protected (including but not limited to copyright, trademark, portrait, privacy or publicity rights) under intellectual property laws or other laws, unless the user thereof entitles to or controls the corresponding right or is licensed by the intellectual property owner;
• Using the Software and other services provided by Shizhen in any illegal manner, for any illegal purpose or in any manner inconsistent with this Agreement;
• If Users violate the aforementioned provisions, Shizhen may terminate, or suspend in whole or in part, or restrict the usage of the Software.
• Shizhen cannot guarantee whether the Software infects viruses, whether a Trojan horse program in disguise or hacker software is hidden. Users are advised not to download, install or use this sort of software which may trigger unpredictable risks. Otherwise, Shizhen bears no responsibility to any legal liabilities or disputes arising therefrom.
• Users acknowledge and agree that if Users decide to use the Software, Shizhen may upload and store part of or all of data generated in the course of using the Software to third party cloud server in order to realize certain functions. In the event that Shizhen cannot normally provide software services due to third-party cloud services’ breakdown or other malfunction accidents, Shizhen shall be in charge of coordination and resolution to avoid affecting the normal use as much as possible.
• Users acknowledge and agree that when Users use the Software, the Software may call Shizhen’s other software, third-party systems, or third-party software’s functions to support Users’ use or access. The Software, Shizhen’s other software and other third-party software may call functions of one other, and may share the data upon your approval. Meanwhile, if you decide to use the Software, your authorization needs to be obtained to open the relevant ancillary functions on the mobile phone (such as camera) in order to realize the screen sharing function; and if you refuse to open such ancillary functions, some functions of the Software may fail to be realized. Where Users’ information is maliciously used, stolen or even deleted by any third party due to the Users’ execution of the above instructions, Shizhen shall endeavor to take necessary measures to protect Users’ legitimate rights and interests from infringement.

• Privacy Policy
• Protecting Users' personal information is one of the basic principles of Shizhen. We will collect, use, store and share your personal information in accordance with the provisions in this Agreement, the different versions of the MAXHUBShare Privacy Policy based on the type of hardware device you use (IFP, PC or mobile phone)and corresponding IFP’s Privacy Policy. 【hyperlinks of two privacy policies are to be inserted】For any content regarding personal information protection not expressly stipulated in this Agreement, the other two privacy policies shall prevail.

• Disclaimer and Liability Limitation
• The Software does not contain any malicious code aimed at destroying Users’ device data or obtaining Users’ private information. The Software has been thoroughly tested, but it is unwarranted that it is completely compatible with all hardware and software systems, and it is unwarranted that the Software is completely error-free. In case of incompatibility and software errors, Users can call the technical support phone number to report the event to Shizhen for technical support. If incompatibility cannot be resolved, Users can delete the Software.
• To the maximum extent permitted by applicable law, Shizhen will not assume any legal responsibilities for any damages and risk arising from the use or inability to use the Software, including but not limited to, direct or indirect personal damages, loss of commercial profits, trading interruption, loss of business information or any other economic losses.
• Shizhen will not assume any legal responsibilities for losses caused by failure of telecommunication systems or internet networks, equipment malfunction or virus infection, damage or loss of information, mobile phone system problems, or any other losses caused by force majeure.
• Where Users violate the provisions of this Agreement and cause damages to Shizhen, Shizhen reserves the right to take measures including but not limited to suspending license, ceasing to provide services, restricting usage and bring legal actions.

• Applicable Law and Dispute Resolution
• This Agreement shall be governed by the laws of the People's Republic of China.
• Any dispute arising from or in connection with this Agreement shall be settled by the parties through friendly negotiation. In case no settlement can be reached through negotiation, either party may submit the dispute to the competent court where Shizhen resides for jurisdiction.

• Miscellaneous
• If any provisions of this Agreement is invalid in whole or in part, unenforceable, or is in violation of any applicable law for any reason whatsoever, such provision thereof shall be deemed obliterated, notwithstanding the remaining provisions shall continue to be valid and binding.
• In the event of any conflicts between any provisions of this Agreement and the provisions of the end user authorization and license agreement for a specific program in the Software, the provisions of the end user authorization and license agreement for that specific software shall prevail.
• Shizhen is entitled to amend this Agreement at any time in accordance with changes in the relevant laws and regulations, as well as adjustment to the operational status and strategy of the company. The amended Agreement will be posted on Shizhen's designated website and attached with upgraded versions of the Software. In case of any dispute, the latest version of the Agreement shall prevail. If Users disagree with the modified content, Users may delete the Software at sole discretion. If Users continue to use the Software, it shall be deemed that the changes on this Agreement have been accepted.

As such, Users have carefully read and understood this Agreement and assented to strictly abide by the provisions and conditions hereof.
